PRIVACY POLICY Last Updated: February 27, 2026 INTRODUCTION This Privacy Policy explains how MusicBae, Inc., a Wyoming corporation ("we," "us," "our") collects, uses, processes, discloses, and safeguards your information when you use the Site, Service, and Platform offered on musicbae.com. By using the Site, Service, and Platform, you hereby consent, with each such use, to the collection and use of your information as set forth in the applicable, then current version of this Policy pursuant to the Agreement you have made with us by agreeing to our Terms and Conditions of Use by, and upon, each and any such use of the Site, Service, and Platform. We reserve the right to change the terms and conditions of this Privacy Policy at any time without prior notice to you by publishing such amended terms and conditions here, with an updated effective date above. 1. INFORMATION WE COLLECT We generally collect two kinds of information through the Site, Service and Platform: (i) "personal information" about you which you provide to us, defined as information which can be associated with a specific, identified or identifiable individual or entity, which includes without limitation and by way of example, a user’s name, e-mail address, photograph, bank or other account information, or any other identifier that permits the physical or online contacting of a specific individual, and information about a user that is collected and maintained in personally identifiable form in combination with other personal information; and (ii) "non-personal information" about you, your device or computer, your technology, and your use of the Site, Service, and Platform, which is collected automatically and alone does not identify you personally. The information we collect from you includes, without limitation: 1.1 Information You Provide: • All Account Information, including without limitation, name, email address, phone number, password, profile bio information • All User Profile Data, including without limitation, profile and other images, location, musical preferences, artist verification documents (as applicable) • All Payment Information, including without limitation, billing account numbers, billing account addresses, payment method details, which are captured and processed securely by third party payment processors, including without limitation Stripe and PayPal and their respective affiliates • All other Content Submitted to the Site and Platform, including without limitation, music files, cover art, song metadata, tip messages, reply messages (as applicable) • All Communications, including without limitation all support and inquiry requests, feedback and correspondence 1.2 Information Automatically Collected: • Device and computer Information, including without limitation, IP address, device type, browser type, and operating system • Usage Data, including without limitation, pages visited, features used, and time spent on the Site, Service, and Platform • Technical Data, including without limitation, session tokens, API requests, and error logs • Analytics, including without limitation, user interactions, performance metrics, engagement data 1.3 Information from Third Parties: • Third Party Payment Processors, including without limitation, transaction status and payment verification • Third Party Verification Services: Artist identity verification data based on information provided by an Artist (as applicable) 2. HOW WE USE YOUR INFORMATION Generally, our principal use for the personal information we collect from you is to, as may be applicable, provide you with the full functionality of the Site, Service, and Platform; process your user registration; process your payments, and maintain your account on an ongoing basis. We may also use your personal and non-personal information to enhance your experience with the Site, Service, and Platform. Additionally your feedback and other information you provide will also be used to evaluate and enhance our Site, Service, and Platform. The use of information we collect from you includes, without limitation: 2.1 Site, Service, and Platform Operations: • Provide and maintain our services • Process transactions and payments • Authenticate users and prevent fraud • Provide customer support • Send important service notifications 2.2 Site, Service, and Platform Features: • Enable Artist-Fan connections • Enable Text and email Notifications (as applicable) for Artists and Fans • Facilitate and process tipping and payments • Recommend Artists and content • Display user profiles and content • Track play counts and user engagement 2.3 Business Operations: • Analyze platform usage and performance • Improve our services and user experience • Comply with legal obligations • Protect against fraud and abuse • Conduct research and development 2.4 Communications: • Send account-related notifications • Provide customer support responses • Share platform updates • Marketing communications, if any (opt-in only) 3. INFORMATION SHARING AND DISCLOSURE Please note that a substantial portion of the Site, Service, and Platform entails the sharing of information which has been made public by users of the Site and Platform, both Artists and Fans. Any information or material you enter into any portion of the Site, Service and Platform which will show up in a publicly viewable portion of the Site or Platform; which you enter directly into a publicly viewable portion of the Site or Platform; or which otherwise is intended to show up in any publicly viewable portion of the Site or Platform, such as (as may be applicable) information, data, and materials for your Fan or Artist profile page or set forth in the comments and messaging sections, will be readily accessible to others and/or the general public. Therefore, do not enter in those areas of the Site or Platform any information, personal information or non-personal information, or otherwise any other materials or information that you would not wish to be publicly available, including without limitation your name, e-mail address, postal address, physical address, credit card or other account details, private images, private data or other private information; the same applies to any information, data, or materials, you provide in communications you may have directly with other users of the Site and Platform through the Service. We also engage trusted third party service providers to perform certain functions and provide services to us which are essential for the proper functioning and provision of the Site, Services, and Platform, such as hosting and maintaining our servers for the Site and Platform; database storage and management; file storage and management; e-mail management, customer service, and credit card and other payment processing of tips through the Site and Platform. We will likely share your personal information, and possibly some non-personal information, with these third parties to enable them to perform these services for us and for you. Information is shared and disclosed as follows: 3.1 As public Information, including without limitation: • Artist and Fan profiles (name, bio, avatar, verification status) • Song information (title, artist, play counts) • Public tip messages • User-generated content, both Artist and Fan, marked as, or intended to be, published publicly 3.2 With Third Party Service Providers, including without limitation: • Payment Processing: Stripe and Paypal, and of their applicable, respective affiliates, for secure payment processing • Cloud Storage: Vercel Blob, for file storage • Database Hosting: MongoDB Atlas, for data storage • Analytics: Usage analytics providers (anonymized data only) • Email and Text Notifications: Artist email and phone numbers (as applicable) may be provided to Twilio to enable email and SMS notifications to Artists of tips made by Fans (see SMS / Text Message Notifications section below) 3.3 For Legal Reasons: We may also disclose personal and non-personal information about you to government, law enforcement officials or private parties as we, in our sole and absolute discretion, believe necessary, advisable, or appropriate in order to, as may be applicable: respond to any applicable government or regulatory requests; to initiate or respond to any applicable claims or allegations; to protect our rights, property and interests or those of a third party; to protect the safety of the public or any person, including without limitation to ensure the safety of all users of the Site, Service, and Platform; to prevent or stop any illegal, fraudulent, unethical, or legally actionable activity, or to otherwise comply with any applicable court orders, legal process (including without limitation subpoenas), laws, rules and regulations. 3.4 In Business Transfers: In business transfer transactions, customer information, both personal information and non-personal information, are generally considered one of the business assets that is transferred in connection with any such transactions. Accordingly, in the event of a merger, acquisition, or any transfer or sale of assets of the Company to any other third party, both your personal information and non-personal information will likely be transferred to the applicable acquiring entity or entities. You hereby understand, acknowledge, and agree that such transfers may occur, and that any acquirer of the Company may continue to use your personal information and non-personal information as set forth in the then current version of this policy. 3.5 With Your Consent: Except as otherwise set forth in this policy, we may share information with other third parties, but only for specific purposes and with your explicit, prior consent, which will enable you to prevent the sharing of any such information for any such purposes if you so elect. For example, Artist email and phone numbers (as applicable) may be provided to Twilio to enable email and SMS notifications to Artists of tips made by Fans as follows: 3.6 Email and SMS / Text Notification Consent Email Notifications: Artists on MusicBae may choose to receive email notifications when they receive a tip from a Fan. SMS / text notifications are strictly opt-in and are never sent to and/or received by an artist without the artist’s express, prior consent. How to Opt-In: As an Artist, you can enable email tip notifications at any time by going to your Artist Dashboard → Profile tab and turning on the "Receive Tip Notifications" toggle. Please note that this toggle setting is enabled by default when you first create your artist user account with us. How to Opt-Out: As an Artist, you can disable email tip notifications at any time, including without limitation upon your first registration of an artist user account with us, by going to your Artist Dashboard → Profile tab and turning off the "Receive Tip Notifications" toggle. You may also contact us at info@musicbae.com with the subject line "Email Opt-Out" to be removed from all notification emails. SMS / Text Message Notifications: Artists may choose to receive SMS / text message notifications when they receive a tip from a fan. SMS / text notifications are strictly opt-in and are never sent to and/or received by an artist without the artist’s express, prior consent. How to Opt-In: To receive SMS / text notifications, go to your Artist Dashboard → Profile tab and turn on the "Receive Text (SMS) Notifications" toggle. You will be asked to provide your mobile phone number with country code. By entering your phone number and enabling the toggle, you expressly consent to receive SMS / text tip alert messages from MusicBae. Your affirmative consent each time you enable the toggle is recorded along with an accompanying timestamp. How to Opt-Out: You may opt-out of SMS / text notifications at any time using any of these methods: • Reply STOP to any SMS / text message you receive from MusicBae • Go to your Artist Dashboard → Profile tab and turn off the "Receive Text (SMS) Notifications" toggle • Contact us at info@musicbae.com with the subject line "SMS Opt-Out" and your phone number You will receive a single confirmation message acknowledging your opt-out. After opting out, you will not receive any further SMS messages unless you opt-in again through your Profile settings, all as set forth above. Message Frequency and Rates: SMS / text notifications are transactional only: you will only receive a message each time a fan sends you a tip. We do not send promotional, marketing, or bulk SMS messages. Message and data rates may apply based on your mobile carrier's plan. Your Phone Number: If you provide a phone number for SMS notifications, it is stored securely in your account and used solely to send tip alert messages. We do not sell, share, or use your phone number for any other purpose. You may update or remove your phone number at any time through your Profile settings. DATA SECURITY AND PROTECTION We utilize certain administrative, physical, and electronic measures designed to protect your information from unauthorized access. Additionally, all personal information from users is stored behind a firewall with limited administrative access. However, please be aware that despite our best efforts, or those of our third party service providers, no security measure is perfect or impenetrable. Therefore, do not enter in those areas of the Site or Platform any information, personal information or non-personal information, or otherwise any other materials or information that you would not wish to be publicly available, including without limitation your name, e-mail address, postal address, physical address, credit card or other account details, private images, private data or other private information; the same applies to any information, data, or materials, you provide in communications you may have directly with other users of the Site and Platform through the Service. 5. YOUR PRIVACY RIGHTS AND CHOICES You also have certain privacy rights and choices through the Site, Service, and Platform, through our third party service providers, as well as applicable law, which give you certain options designed to help you to protect your information from unauthorized access, which include without limitation, the following: 5.1 Account Management Options: • Update, change, or delete elements of your profile information • Change password and security settings • Delete or change your uploaded content • Close your account 5.2 Data Access and Portability (see CCPA Section below): • Request a copy of your personal data • Download your uploaded content • Receive data in a machine-readable format 5.3 Data Correction and Deletion: • Correct inaccurate information • Request deletion of personal data • Object to certain data processing • Withdraw consent where applicable 5.4 Communication Preferences: • Opt-out of marketing emails, if any • Manage notification settings • Control privacy settings 6. DATA RETENTION 6.1 Active Accounts & Closed Accounts: Generally, we store information only for as long as it is necessary for the fulfillment of the purpose for which it was collected or for any other specific purpose disclosed in this policy, unless otherwise required or authorized by applicable law. We will take certain measures to destroy or permanently de-identify personal information to the extent required by applicable law and may, at our sole and absolute discretion, take such measures if the personal data is no longer required for the purpose for which we collected it or any other applicable purpose as set forth herein. Anonymous analytics data may be retained indefinitely. 6.2 Closed Accounts: • A copy of account data may be retained to the extent allowed by applicable law, primarily to enable the Company to meet all potentially applicable legal requirements regarding such data (i.e. an archive copy of user data in case of alleged infringement, etc.) • Financial records retained for tax/legal requirements • Anonymous/anonymized analytics data from your closed account may be retained indefinitely 6.3 Legal Requirements: Some data may be retained longer, or even indefinitely to comply with legal obligations, resolve disputes, or enforce the Agreement or any other agreements. 7. INTERNATIONAL DATA TRANSFERS When you use the Site, Service, or Platform, your information may be transferred to, stored in, or processed in the United States of America or other countries where we or and/our service providers operate. Accordingly, your information may be transferred to, stored in, or processed in countries other than your country of residence. To the maximum extent applicable under any applicable law, by using the Site, Service, or Platform, you are hereby authorizing us to transfer, store, and process your information in any of the locations which we operate, which include without limitation, the United States of America. 8. CHILDREN'S PRIVACY MusicBae is not directed to or authorized for use by minors: any person under the age of 18 years old, including without limitation any children: any person under the age of 13 years old • Accordingly, we do not knowingly collect data from minors or children. • Age verification is required for any use of the Site, Service, or Platform and the creation of a Username account and is effectuated by representation and warranty by accepting the Terms and Conditions of Use upon each such use and/or as a result of the creation of a Username account. • Parents can and should request the deletion of any minor or child supplied data which they suspect or believe may be on the Site, Service, or Platform, all as set forth below. 9.
